The lender, who is to fund the requisite fixed and circulating assets for the commencement of business operation, estimates the market value, applying to the assets financed, when the credit risk is realized and, as a consequence, their foreclosure is under development for loan repayment. Market value assessment is particularly difficult in the case where the lender is going to finance the acquisition of assets designed to serve especially the purpose and business of the borrower’s enterprise. Under these circumstances, there is the major risk of foreclosure ineffectiveness given the fact that a potential separate foreclosure sale of the assets financed would be unable to produce adequate proceeds to satisfy the loan debt. To minimize the aforementioned credit risk, the lender is reasonable to seek those legal means which are held to be most efficient for credit security purposes. Therefore, a normally pursues to obtain security interests, not only in the assets financed, but also in the relevant enterprise as a whole, at the minor possible cost of security taking and enforcement.
